Legal HubSpot : Lead Counsel, Public Company Governance & Corporate Programs

Lead counsel manages corporate governance policies, board committees, compliance frameworks, and investor relations for a public company.

What this role involves

Lead Counsel, Public Company Governance & Corporate Programs

Legal

Remote - USA

POS-20140

The Legal Team

HubSpot's Legal team is a proactive, business-enabling partner — not a back-office function. We help our teams move fast, smart, and responsibly, balancing innovation with rigor so HubSpot can scale as a publicly traded, AI-native company while maintaining trust, compliance, and clarity.

Role Summary

This is a role for a senior governance attorney who has earned the confidence of boards and committees, not just supported them. You will be HubSpot's primary governance lawyer — owning the company's governance policy framework, the NG&S Committee, the operational backbone for all three Board committees, proxy governance and annual meeting, and governance-focused investor engagement.

The governance attorney who succeeds here doesn't just maintain recurring programs — they actively improve how those programs work, bringing the same rigor to process design as to legal advice.

HubSpot is building an AI-first legal function, and we want someone who sees that as an opportunity to do governance work at a higher level of quality and scale, not as an obligation to satisfy.

This is an individual contributor role reporting to the Director of Corporate Legal.

What You'll Do

1. Lead HubSpot's Governance Policy Framework

  • Own HubSpot's governance policy framework, including committee charters, governance practices, director independence analysis, related-party frameworks, and Board refresh and skills matrix legal analysis.
  • Lead the annual governance policy refresh, ensuring HubSpot's practices remain aligned with evolving NYSE requirements and governance best practices — and anticipating changes before they arrive.

2.  Own the Nominating, Governance & Sustainability Committee

  • Serve as the substantive legal owner for the NG&S Committee, preparing materials, advising on agenda items, translating legal and governance requirements into practical recommendations, and supporting the committee chair.
  • Advise on director independence, related-party considerations, Board refresh, and skills matrix analysis, with the judgment to resolve most questions independently.

3. Run Board and Committee Operations

  • Own the operational backbone for the Board and its Audit, Compensation, and NG&S Committees as a shared service across all three committees.
  • Own the governance sections of HubSpot's annual proxy statement, including director biographies, skills matrix, committee descriptions, governance policy disclosures, and ESG and sustainability content, and lead the annual meeting process and logistics end-to-end.

4. Lead Governance-Focused Investor Engagement

  • Lead governance-focused investor engagement, including proxy advisor outreach related to Board composition and governance practices, and partner with Investor Relations on shareholder communications and proxy season strategy.
  • Engage directly with ISS, Glass Lewis, and significant shareholders on governance matters with the preparation and credibility to represent HubSpot's positions authoritatively.

5. Own Corporate Governance Programs

  • Own recurring corporate governance programs (governance filings, D&O questionnaires, governance surveys, and related compliance obligations) with disciplined execution and strong records practice.

6. Build an AI-First Governance Function

  • You have a point of view on how AI and automation can raise the quality and efficiency of recurring governance work, and you act on it. You will identify and implement process improvements (including AI-enabled workflows) that reduce friction, strengthen governance operations, and increase the team's operating leverage.
  • Build templates, playbooks, and governance infrastructure that make this function more scalable and resilient over time.

What You'll Bring

Required Qualifications

  • 8-10+ years of corporate and securities law experience at top law firms and/or in-house, with at least 3-4 years of meaningful in-house experience advising a U.S. public company on corporate governance matters.
  • Deep knowledge of public company governance (Board and committee practices, director independence, governance policies, stock exchange requirements, and related-party frameworks) with the judgment to own governance calls independently.
  • Extensive experience supporting Boards and Board committees, with the credibility to advise on governance matters directly and translate legal requirements into practical, boardroom-ready recommendations.
  • Meaningful ownership of, or a senior role in, annual proxy statement preparation and annual shareholder meeting processes.
  • Demonstrated track record of governance-related investor and proxy advisor engagement; able to partner with Investor Relations and senior stakeholders as a peer, not a process manager.
  • Track record of independently managing complex, recurring governance programs with strong attention to legal judgment, execution, and records discipline — and a drive to continuously improve how those programs run.
  • JD from an accredited law school and active bar membership in at least one U.S. jurisdiction.

Nice-to-Have Qualifications

  • Experience working in-house at a publicly traded technology or SaaS company.
  • Experience engaging directly with proxy advisors, including ISS and Glass Lewis, on governance matters.
  • Experience advising on ESG or sustainability-related governance and public disclosures.
  • Hands-on experience using or building AI-enabled workflows in legal or governance contexts, with a clear point of view on where AI adds real leverage in governance work.

Where You'll Work

  • Location: United States
  • Work location preference eligibility: Remote
  • Travel/Shift: No travel or shift requirements

Application Requirements

  • There is no application deadline for this role.
  • Applications and resumes/CVs must be submitted in English.
  • Cover letters are not required.

Pay & Benefits

The cash compensation below includes base salary, on-target commission for employees in eligible roles, and annual bonus targets under HubSpot’s bonus plan for eligible roles. At HubSpot, we value both flexibility and connection. Whether you’re a Remote employee or work from the Office, we want you to start your journey here by building strong connections with your team and peers. If you are joining our Engineering team, you will be required to attend a regional HubSpot office for in-person onboarding. If you join our broader Product team, you’ll also attend other in-person events, such as your Product Group Summit and other gatherings, to continue building on those connections.

  • Hire and develop direct reports as program volume increases. This role grows into a team leadership position.

What you Bring:

  • 5 or more years of experience in legal operations, compliance management, or collections oversight within consumer lending, auto finance, or a third-party collection agency.
  • Demonstrated historical career stability
  • Experience in non-prime or subprime auto lending specifically. The borrower profile, state law environment, and legal tool set are materially different from prime lending or other consumer credit, and this role requires someone who already understands that context.
  • Working knowledge of FDCPA, UDAAP, and applicable state consumer protection laws as they apply to post charge-off collections. Able to review scripts, letters, and vendor practices for compliance without relying on outside counsel for routine questions.

  • Has designed, built, or led a post charge-off deficiency recovery program from the ground up, covering settlement letters, internal contact, agency placement, and legal escalation.
  • Has managed legal collections activity across multiple states. Knows which states prohibit wage garnishment. Has coordinated with outside counsel on deficiency suits and post-judgment enforcement.
  • Able to read and interpret collections performance data without needing a data team to validate whether a program is performing.

Legal Senior Compliance Specialist at Mechanical Orchard

Leads GRC and compliance programs, audits controls, maintains certifications, and drives readiness for GDPR, SOC 2, ISO 27001, CMMC, and federal authorizations.

Senior Posted 6 days ago RemoteFirstJobs Product
What this role involves

At Mechanical Orchard, we specialize in safely rewriting the most critical and complex business applications—the software that runs the world as we know it today—so they’re ready to adapt quickly and easily to market challenges and opportunities. Our approach emerged from observing the decades-long failure patterns in modernization efforts and is designed to eliminate the risks and disruptions that characterize most projects.

Our background in software development and the impact on the industry is well known: we’ve literally helped write the book on XP and other impactful Agile practices. We’re applying the same thoughtfulness and rigor in applying AI pragmatically where it helps. We believe in the durable principles behind Agile, and embrace the power of cross-functional teams, collective ownership, test driven development, short feedback loops, and continuous improvement.

We’re bringing joy to beleaguered IT teams everywhere. Together, we’re seeing how applying craft, expertise, and technologies we’re building can fundamentally transform the way companies operate, innovate, and win. Our values are: Do the right thing. Do what works. Be kind.

Mechanical Orchard is looking for a hands-on GRC expert to take our compliance portfolio to the next level. You will maintain and strengthen our existing compliance programs covering SOC 2, ISO 27001, GDPR, and CPRA, and lead the pursuit of new compliance requirements, certifications, and authorizations, including US federal and DoW compliance: CMMC, NIST SP 800-171, and agency-specific ATOs.

Responsibilities

  • Own the day-to-day operation and continuous improvement of our ISO 27001, SOC 2, and GDPR compliance programs, including maintaining program scope, tracking compliance obligations, scheduling required reviews, maintaining documentation, and ensuring audit readiness. Directly inspect systems and workflows, assess control effectiveness, and collect and validate evidence from CSPs and internal systems.
  • Lead the internal audit program, including planning and conducting audits, documenting findings, and verifying corrective actions, while ensuring auditor objectivity and independence.
  • Lead our pursuit of CMMC certification, agency-specific ATOs, and compliance with applicable NIST SP 800-171 and other federal and defense requirements. Define scope, assess existing controls, identify gaps, and drive remediation through assessment and authorization readiness. Identify applicable STIGs, assess configurations and supporting evidence, and work with technical teams to implement and verify required changes. Develop and maintain SSPs, POA&Ms, and supporting assessment and authorization documentation.
  • Lead our enterprise risk management program, including chairing risk committee meetings, maintaining the risk register, and facilitating assessment of security, compliance, and other business risks. Work with risk owners to define and track treatment actions, verify mitigation evidence, and bring decisions requiring risk acceptance or prioritization to leadership.
  • Develop and maintain security and compliance policies, procedures, and control documentation, and drive policy review and approval. Work with relevant teams to verify that documentation reflects actual systems and practices, identify gaps between policy and implementation, and drive updates as requirements and business needs evolve.
  • Lead external audits and compliance assessments, serving as the primary contact for auditors and assessors. Prepare and validate evidence submissions, explain control implementation, resolve assessment questions, and drive findings through remediation and verified closure.
  • Oversee the vendor and third-party security risk review process, maintaining assessment criteria and ensuring reviews are completed and documented by the responsible teams. Track identified risks and remediation commitments, and escalate issues requiring risk acceptance or further action.
  • Serve as the organization’s DPO, advising on and monitoring privacy compliance in partnership with Legal and relevant teams. Maintain processing records, review data handling and retention practices, advise on DPIAs, coordinate responses to data subject requests, track remediation of privacy compliance gaps, and serve as the contact for supervisory authorities.
  • Support customer security and compliance due diligence, particularly for federal and defense opportunities. Legal Senior Compliance Specialist at Mechanical Orchard

Leads GRC and compliance programs, audits controls, maintains certification readiness, and drives remediation for privacy, security, and federal requirements.

Contribute responses and evidence for requirements involving CMMC, NIST SP 800-171, and other applicable frameworks, and help evaluate proposed compliance commitments in partnership with InfoSec, Sales, and Legal.

Legal Hex Technologies: Legal Ops

Owns legal operations, contract workflows, compliance records, outside counsel, legal technology, and AI-powered process automation.

Senior Remote Posted 6 days ago We Work Remotely — Programming
What this role involves

Headquarters: NYC or Remote (EST or CST)

About the role:

Hex’s legal function has gone from zero to a fully operating system in under a year. Now we need someone to own and scale the operating layer so it holds as the company grows. This is a builder role.

You’ll run contract operations end to end: CLM administration, workflow optimization, template and playbook maintenance, enablement and training for the revenue team, and first-pass review and redlining of standard agreements against our playbook. Beyond contracts, you’ll build structured intake for every legal workstream across the company, own the legal governance record (privacy registers, AI inventory, compliance calendars), manage outside counsel relationships, and own the legal tech stack. We sit at the nexus of data, AI, and collaboration, which means our legal operations have to be as thoughtful as our product.

We use AI tooling across legal operations, and you’ll work the same way: building agents and automations to move faster, not as a side project but as the default way things get done here. If you see a manual workflow and instinctively want to build it away, you’ll feel right at home.

What you will do:

  • Drive CLM adoption and enablement so the revenue team self-serves on standard deals
  • Own workflow optimization, templates, and playbooks as deal structures and products evolve
  • First-pass review and redlining of standard agreements; draft from templates as volume requires
  • Build and own structured intake for legal workstreams across the company
  • Build AI-powered workflows, agents, and automations that replace manual processes
  • Maintain the legal governance record: privacy registers, AI inventory, compliance calendars
  • Train cross-functional teams on self-service tools and escalation paths
  • Manage outside counsel relationships and the legal tech stack

About You:

  • 3-5+ years in legal operations, paralegal, or contract management, with at least 1-2 years in-house at a tech or SaaS company
  • You’ve implemented or rebuilt a CLM (Ironclad preferred), designed intake workflows, and stood up reporting someone relied on
  • Experience reviewing and redlining commercial agreements on both sell-side and buy-side paper
  • You build with AI and automation as a natural part of how you work. You’re comfortable across AI-assisted legal tools, LLMs, and automation platforms, and willing to experiment with new ones as they emerge. This isn’t a nice-to-have at Hex.
  • Comfortable operating with autonomy in a role with a lot of white space
  • Good judgment about what you can handle and what needs a lawyer
  • You care whether people actually use what you build

Nice to have:

  • Experience at a company navigating exponential growth
  • Experience with corporate governance (entity management, board materials, annual filings)
  • Has used Hex
  • Strong opinions about the best way to organize a Notion workspace

We know job posts like this can feel like a checklist, and nobody checks every box. If you’ve built legal ops infrastructure, you’re excited about AI, and this role sounds like the kind of work you want to do, we’d love to hear from you.

In addition to our unique culture, Hex proudly offers a competitive total rewards package, including but not limited to, market-benched salary & equity, comprehensive health benefits, and flexible paid time off.

The salary range for this role is: $124,125 - $165,500.

The salary range shown may be a reflection of additional factors such as geographical location and skill ranges/levels we’re open to. Placement in the salary range will be decided upon completion of the interview process, taking into account factors like leaving room for growth, internal fairness & parity, your demonstrated skills, and the depth of your experience. Our Recruiting team will be able to provide more details during the interview process.

By submitting an application the candidate consents to the use of their personal information in accordance with the Hex Privacy policy: https://learn.hex.tech/docs/trust/privacy-policy.

Hex Technologies uses AI-assisted tools as part of our application review process, including for resume screening and fraud detection. These tools help our team evaluate applications and verify applicant information. All AI-generated recommendations are reviewed by a member of our recruiting team before any hiring decision is made. No application is automatically rejected based solely on an AI tool's output.
